These Terms of Service ("Terms") govern your access to and use of Spooled Cloud's webhook queue and background job services (the "Service"). By accessing or using the Service, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
If you do not agree to these Terms, you may not access or use the Service.
2. Service Description
Spooled Cloud provides webhook queue and background job infrastructure including:
- Job Queuing: Reliable message queuing with configurable priorities and scheduling
- Automatic Retries: Failed jobs automatically retry with exponential backoff
- Idempotency: Built-in deduplication to prevent duplicate processing
- Dead-Letter Queues: Capture and inspect jobs that exhaust retry attempts
- Real-time Monitoring: WebSocket and SSE streams for live job status updates
- REST and gRPC APIs: Multiple integration options for your applications
- Dashboard: Web-based interface for managing queues, jobs, and settings
We may add, modify, or discontinue features of the Service at any time. We will provide reasonable notice for material changes that affect your use of the Service.
3. Account Registration
To use certain features of the Service, you must register for an account. You agree to:
- Provide accurate, complete, and current registration information
- Maintain the security and confidentiality of your account credentials and API keys
- Promptly notify us of any unauthorized access to or use of your account
- Accept responsibility for all activities that occur under your account
- Not share your account credentials with third parties
We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used for fraudulent or illegal purposes.
4. Acceptable Use
You agree to use the Service only for lawful purposes. You shall not:
- Violate any applicable local, state, national, or international law or regulation
- Infringe upon the intellectual property rights of others
- Transmit any malware, viruses, or malicious code through the Service
- Send unsolicited bulk messages (spam) or phishing content
- Attempt to gain unauthorized access to our systems or other users' data
- Interfere with or disrupt the Service, servers, or networks
- Circumvent or attempt to circumvent rate limits or usage restrictions
- Use the Service for cryptocurrency mining or similar resource-intensive activities
- Reverse engineer, decompile, or disassemble any part of the Service
- Use automated means to access the Service except through our official APIs
We reserve the right to investigate and take appropriate action against violations, including removing content, suspending accounts, and reporting to law enforcement.
5. API Usage and Rate Limits
Your use of the Service APIs is subject to rate limits based on your subscription plan. These limits help ensure fair usage and service quality for all customers.
- Rate limits are applied per API key
- Exceeding rate limits will result in HTTP 429 responses
- Persistent abuse may result in temporary or permanent suspension
- Rate limits may be adjusted with reasonable notice
Current rate limits and usage are available in your dashboard. Contact us if you need higher limits for your use case.
6. Pricing and Payment
Certain features of the Service require a paid subscription. Payment terms:
- Free Tier: Limited usage is available at no cost, subject to the free tier limits
- Paid Plans: Billed monthly or annually as specified at checkout
- Payment Processing: Handled securely by Stripe
- Taxes: You are responsible for any applicable taxes
- Refunds: We offer prorated refunds for annual plans cancelled within 14 days
- Price Changes: We will provide 30 days notice for price increases
Failure to pay may result in service interruption or account suspension.
7. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted access to the Service.
- Target Uptime: 99.9% for paid plans (see SLA for details)
- Scheduled Maintenance: We will provide advance notice when possible
- Emergency Maintenance: May occur without notice for security or stability issues
- Status Page: Current status available at status.spooled.cloud
For business-critical applications, we recommend implementing appropriate retry logic and fallback mechanisms.
8. Data Ownership and Processing
Your Data: You retain all rights to your data. We claim no ownership over job payloads, webhook data, or other content you submit through the Service.
License Grant: You grant us a limited, non-exclusive license to process, store, and transmit your data solely for the purpose of providing the Service.
Data Processing: We process your data in accordance with our Privacy Policy and applicable data protection laws.
Data Export: You may export your data at any time through our API or by contacting support.
9. Intellectual Property
Service IP: The Service, including its code, design, features, and documentation, is owned by Spooled Cloud and protected by intellectual property laws.
Open Source: Portions of our backend are open source under the Apache 2.0 license. See our GitHub repository for details.
Feedback: Any feedback, suggestions, or ideas you provide may be used by us without compensation or attribution.
10. Termination
By You: You may terminate your account at any time through your dashboard or by contacting support.
By Us: We may suspend or terminate your account for violations of these Terms, non-payment, or other reasons with notice when feasible.
Upon termination:
- Your access to the Service will be revoked immediately
- Your data will be retained for 30 days, then permanently deleted
- Outstanding fees remain payable
- Prepaid annual fees may be refunded pro-rata at our discretion
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, or secure. You use the Service at your own risk.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPOOLED CLOUD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL.
Our total liability for any claims arising from or relating to these Terms or the Service shall not exceed the amount you paid us in the 12 months preceding the claim.
13. Indemnification
You agree to indemnify, defend, and hold harmless Spooled Cloud and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any third-party rights
- Content you submit through the Service
14. Modifications to Terms
We may modify these Terms at any time. Material changes will be communicated via:
- Email to your registered address
- Notice in the dashboard
- Update to the "Last updated" date
Continued use of the Service after changes constitutes acceptance of the new Terms. If you do not agree to the changes, you must stop using the Service.
15. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles.
Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the AAA Commercial Arbitration Rules, except that either party may seek injunctive relief in court.
16. General Provisions
- Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Spooled Cloud.
- Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
- Waiver: Failure to enforce any right does not constitute a waiver of that right.
- Assignment: You may not assign these Terms without our consent. We may assign these Terms in connection with a merger or acquisition.
